Apex Traffic Management Starts a New Era Under Employee Ownership
Apex Traffic Management, a leading Scottish company specialising in traffic solutions for major roadworks and high-profile events, has taken a monumental step towards a brighter future. With headquarters in East Kilbride and depots in Dumfries and Ashford, Apex is set to expand further with a new depot opening in Portlethen near Aberdeen.
The business, valued at £10 million, has transitioned to an Employee Ownership Trust (EOT), making its 108 employees the new owners of the company.
This bold move comes after the company’s three founding directors and shareholders, Iain Griffin, Daniel McGinley, and Ian Murtagh, decided against takeover offers from external buyers. Instead, they chose to place the business’s future in the hands of its dedicated team, ensuring long-term stability and shared success.
“We had two or three other companies come in to try and buy us, but the offers just didn’t feel right,” said Griffin. “A trade buyer would have been interested in our order book, not our people. Transitioning to an EOT lets us recognise our team’s hard work while securing a lasting legacy.”
Apex’s Growth and Impact
Over the past two decades, Apex has earned a stellar reputation for providing traffic management solutions across the UK. From major motorway projects to managing traffic at prestigious events like the British Open in Troon and the Great Scottish Run, the company has demonstrated versatility and excellence. Its fleet includes 150 traffic light systems, supporting critical infrastructure projects and events alike.
The company’s directors see employee ownership as a natural progression that aligns with their values. “This is more than just a business decision; it’s about securing the future of the people who helped build Apex,” Griffin explained.
Why Employee Ownership?
Employee Ownership Trusts (EOTs) have gained traction across Scotland as a sustainable alternative to traditional acquisitions. By transferring shares to an EOT, Apex ensures its workforce has a direct stake in the company’s future. This model has proven to boost morale, enhance productivity, and foster a sense of belonging among employees.
Carole Leslie, Director at Ownership Associates, who facilitated the transition, highlighted the benefits: “This was a rewarding project to work on. The directors genuinely wanted the best for their people, and their respect for the team was evident. Employee ownership is the perfect fit for Apex’s culture.”
Leslie’s organisation has overseen over 30 such transitions in 2024, reflecting a growing trend among Scottish businesses. The Scottish Government aims to have 500 employee-owned businesses by 2030, a target that seems achievable as the current number approaches 300.
The Financial and Cultural Benefits
The shift to employee ownership offers notable financial advantages. Selling shareholders benefit from capital gains tax exemptions when transferring shares to an EOT. Additionally, employees can receive annual tax-free bonuses of up to £3,600. These incentives make EOTs an attractive option for businesses prioritising their workforce’s well-being.
Nicholas Howie, Partner in the Corporate Law team at Lindsays, underscored the broader economic benefits: “In the right circumstances, employee ownership is a win-win for companies, their employees, and the economy. Apex’s transition is a testament to its forward-thinking leadership.”
A Legacy of Leadership and Trust
Under its new structure, Apex’s directors will remain involved, providing continuity and guidance as the company adapts to its employee-owned future. Several team members have already been promoted to management positions, reflecting the growing opportunities within the business.
Griffin expressed pride in the team’s response: “The reaction has been great. You can already feel the increased sense of pride and belonging. This move isn’t just about ownership; it’s about empowering our people to take the company to new heights.”
Apex’s Vision for the Future
As Apex Traffic Management embarks on this new chapter, its leaders remain committed to growth and innovation. The company’s employee-owned model ensures that decisions will be driven by collective goals rather than external pressures. This collaborative approach is expected to further strengthen Apex’s position as a trusted name in traffic management.
With Scotland’s business landscape evolving, Apex’s transition serves as a shining example of how employee ownership can pave the way for sustainable success. As more companies follow suit, the benefits—both economic and cultural—are likely to ripple across industries.
Forging Ahead Together
Apex Traffic Management’s transition to employee ownership is more than just a corporate restructuring; it’s a celebration of teamwork, loyalty, and shared vision. By choosing an EOT, the company’s founders have set the stage for a prosperous, people-focused future.
As Griffin aptly put it: “This is about recognising the incredible effort our team has put in over the years. It’s their company now, and I’m excited to see where they take it.”
